This website describes my
practice approach and legal expertise. It is also intended
to serve as a timely newsletter of recent developments in areas relevant
to the operation, acquisition, financing and protection of a commercial
enterprise. I'm a business lawyer with
30+ years of private practice and inhouse counsel experience. From my
office in Oakville, Ontario, Canada, I work closely with Ontario
entrepreneurs on a variety of business transactions:
| • |
Purchase
and sale of businesses: asset & share sales; management buy-outs, family succession,
shareholder buy-sells and dispute resolution. |
| • |
Shareholder & Partner Disputes: acting for oppressed minority or advising control group; negotiating voluntary or involuntary exits. |
| • |
Corporate
reorganizations: strategize and implement key employee buy-ins,
capital restructurings with owner/operators. |
| • |
Private &
non-profit clubs & associations: advise on Corporate,
governance, and HR aspects of non-profits. |
| • |
Exempt
offerings of securities: act on
offering of partnership units in multi-building apartment complex,
prepare Offering Memorandum, key agreements, multiple closings;
advise & prepare documents for closely-held issuer offerings. |
| • |
Source and
implement debt financings: secured bank loans, term equipment
loans, bulk lease financings, convertible debentures, factoring,
asset-based lending. |
| • |
Access new
capital: angel investors, venture capital, strategic partners,
joint ventures, private placements, reverse takeovers, IPO
readiness. |
| • |
Introduce
& distribute new products: licensing agreements, technology
transfers, royalty agreements, restructuring inappropriate
arrangements, IP protection strategy. |
| • |
Strategize commercial
dispute resolution to avoid litigation, and obtain a timely and sound
business result, including shareholder & supplier situations. |
Typically, I receive referrals from
accountants and other financial advisers for clients who are ready to
make the move to a business lawyer from a general practitioner, or who
seek an alternative to large law firms. I also
receive referrals from large law firms due to their client conflicts or
for situations
that are best suited to a smaller firm approach.
Lately, I've realized that I act for quite a few software/IT firms - from one person programmers to businesses with 10 or more employees - all "new economy" owner/operators.
Dynamic
businesses are the core of my practice, and I give them the very best
service I can muster. Another characteristic of my practice is that I
often work closely with financial intermediaries
hired by the client to carry out a complex transaction.
My approach is direct. I don't sugar-coat my advice, I give the best advice and service I can muster as an independent advisor.
Law and business is increasingly complex. That’s why I concentrate on
business law, exclusively. Some of the things I don’t do:
| • |
House deals,
wills, divorces, criminal and highway offences, juvenile cases,
litigation. |
| • |
I don’t act
for lenders and borrowers in the same transaction to avoid
conflicts of interest. |
| • |
I never go to Court, even Small Claims Court. |
I frequently hire and supervise
specialist lawyers and paralegals to handle matters that are not in my comfort zone, acting much like an in-house
general counsel.
Many years ago, I was trained at an excellent big law firm. They do
great work on huge files. I strive to give my independent business
clients the same kind of service and expertise at a reasonable cost. I would be pleased to meet
with you to demonstrate how I can protect and grow your
business. (905-847-9707) |
